Confidentiality agreement

A confidentiality agreement aims at maintaining the secrecy of confidential information and material. In addition, it prevents the recipient of information from using it for purposes other than those intended under the agreement. Such an agreement determines how any confidential information handed over should be handled, for what purposes it may be used and, most of all, what constitutes confidential information.

Make an agreement in good time

You should make a confidentiality agreement at the earliest possible phase, i.e. before disclosing any confidential information. Usually, a separate confidentiality agreement is applied at the outset of negotiations, when confidential information is exchanged between the parties as the basis of discussions on possible cooperation.

A confidentiality agreement can be uni- or bilateral. A unilateral agreement is suitable for situations in which only one party discloses confidential information, while a bilateral agreements suits those in which both parties exchange such information.

These agreements are also known as Non-Disclosure Agreements (NDA) or Secrecy Agreements.
